Course Overview

The Corporate Sector is very potential sector in Bangladesh. It is booming and enriching day by day. It has a great contribution to the economy of our country. The sector is to comply with some laws, rules, regulations as well as practices of the Country. And these are called corporate law and practice. In the corporate arena, corporate law and practice have extensive application. If the corporate law and practice are learnt well, it will certainly make a great value to your career as well as your institutions. So, i think, for dealing the business matters in proper way, we need to have good knowledge of corporate laws and practices. It is most important not only for the employees but also for the employers of all types of institutions and organizations. The corporate laws, rules, regulations culture, ethics, norms and values are the fundamental of any corporate body or institution. These are followed and complied with in almost each and every matter. Moreover, our corporate sector is largely engaging with the business transaction with the other countries of the world. In this regard, the transaction largely demands and requires the good knowledge on corporate laws and practices. Keeping in mind of the above matters, I feel the tremendous need of having good knowledge in corporate laws and practices. And, the legal matters should also be complied with  while  running  your  business, otherwise; there  may  have  raised  a serious problem in future. Besides, you can minimize your legal costs by complying with some rules, regulations and guidelines in running your business. They should have knowledge on different laws, norms, rules, and practices like following-

Last few years, I had the opportunity to work on the corporate matters both in corporate chamber and corporate institutions and drafted many important and necessary corporate documents. And, I credibly believe, these may make better to your business and amplify the profit of your company, institution, organization as well as contribute to the economy of our Country. The course has been designed to provide both theoretical as well as practical knowledge about all aspects and components of corporate law and practice. And this course will certainly make value to your knowledge and understanding in corporate laws and practices.

How the course will benefit the participants:

Participants will learn the fundamental rules and provisions of corporate laws and practices. Participants will know the details on the formation of a new company. Participants will be able to protect their business from any loss due to unknown of any legal matters and compliance in Corporate Laws and Practices. 2. The fundamentals of corporate laws and practices.
3. How to register a new company: The detailed practical procedure.
4. Discussion of the essential and relevant legal matters and compliances in corporate institutions.
5. Analysis of the essential and fundamental corporate laws.
6. Discussion of the essential provisions, rules, regulations, norms, values, ethics, policies, issues of corporate laws and practices.
7. Discussion of the essential legal documentations, notes, meetings under corporate law and practices
8. The drafting of the essential Notice, Minutes, Extract etc. of corporate meeting (Board Meeting, AGM, EGM, Special Meeting, Certification etc.). (Practical).
9. Question and Answer session on the second session.

Session-02

10. The drafting of the essential Corporate Agreements (Practical).
11. How to draft an ideal Corporate Agreement with standard features (Practical).
12. The drafting of the Articles of Association, Memorandum of Association etc.
13. The drafting of the Different Forms for registration of a new company. (Practical).
14. Discussion on the Intellectual Property (Patent, Design& Trade Marks) Matters.
15. Real life and practical problem based solution on corporate matter.
16. Career Development by learning corporate laws and practices.
17. Question and Answer session on the second session.

Trainer Profile

Advocate Monirul Islam is an Advocate of Bangladesh Supreme Court and member of Dhaka Taxes Bar Association.

Mr. Islam is an independent Corporate Lawyer in Bangladesh. He is the current Resource Person of Bdjobs Training Institute. He specially provides training on the corporate matters.

Mr. Islam is presently an Associate of a Corporate Law Firm named Legacy Legal Corporate. He is a young legal professional, having knowledge of Corporate Law, Commercial Law, banking laws, Labour Law, Taxation, VAT Laws, International Agreements, ADR, Writ matters and Human Rights laws. He has special knowledge on Banking and Company Matters.

 Mr. Islam has worked in drafting the Intellectual Property Policy of Bangladesh with the WIPO, a specialized body of United Nations and DPDT of Ministry of Industries, Bangladesh. He has tremendously worked with the DGDA; Ministry of Health and Family Welfare and other Government Institutions in drafting the new Drugs Law of Bangladesh. He specially practises in Patent & Design, Trademarks as well as IP issues and Agreements/Contract (Both Local and International).

Mr. Islam has also special knowledge on local, foreign & joint venture investment process in Bangladesh. He also serves as legal advisor of many local & foreign corporate bodies. He has significant experience of working with public and private sectors and thus having national and international orientation. He has also some publications on the legal matters in Bangladesh. He worked as a Research Assistant in a Law Research Firm named Lexum Nexum (www.lexumnexum.com.bd). He has some publications in distinguished dailies and written some books in English and Bengali on Legal matters and other corporate matters.

 Mr. Monirul Islam has completed LL.B (Hon’s.) from Dhaka University and LL.M (Master of Laws) (Generalized and Specialized) from the same University.

 Mr. Islam worked as a Research Officer at Bangladesh Institute of Law and International Affairs (BILIA). This is an autonomous institution affiliated with the Ministry of Law, Justice and Parliamentary Affairs and Ministry of Foreign Affairs. He has been teaching as a guest lecturer in distinguished educational institutions. He has previous experience in teaching of about 7 years in distinguished educational institutions. He is the Adjunct Faculty Member (LLM Program) of the People’s University of Bangladesh.
